Terms of Use

These terms and conditions (the "Terms") tell you the terms on which you may make use of the UK SET Service and the documents available from it (the "Service").

Please read these Terms carefully before you start to use the Service. By using the Service, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use the Service.

As the Service and Content are free to use neither we nor any Contributing Firm accept any liability to you in respect of the Service or the Content, as further explained in clause 11 below.

1. WHO WE ARE

1.1The Service is operated by Archimax Global Solutions Ltd, a company registered in England and Wales under number 16113033 with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("Archimax", "we", "our", and "us").

2. CONTACTING US

2.1You can contact us by email to info@archimax.solutions.

3. THESE TERMS

3.1These Terms constitute the agreement between you and us for the use of the Service, including the documents, content and information provided on the Service ("Content").

3.2The Content consists of template documents drafted by the law firms named on the Service, with input from the other firms named on the Service as contributors. In these Terms, each firm named on the Service as having drafted or contributed to the Content, other than Archimax, is a "Contributing Firm" and together they are the "Contributing Firms". The Content is drafted under the law of England and Wales for use by businesses operating in the United Kingdom and has not been prepared with any particular transaction, party or set of circumstances in mind. The Contributing Firms are not parties to the operation of the Service and are independent of Archimax. Some Content is published in numbered editions. The current edition is shown on each document. Earlier editions are superseded and should not be relied on.

3.3We may change these Terms from time to time. Any changes we may make to these Terms in the future will be posted on the Service and, where we consider the changes to be material, notified to you by email. By continuing to use and access this Service following such changes, you agree to be bound by them. Please review this page frequently to see any updates or changes to these Terms.

3.4If you commit a breach of these Terms we reserve the right at our sole discretion, immediately and without notice to suspend or permanently deny your access to all or part of the Service and associated services.

4. THE SERVICE

4.1We provide the Service on an "as is" and "as available" basis with all faults. We do not guarantee that the Service, or any Content, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of the Service without notice. You agree that your use of the Service is at your own risk. We will not be liable to you if for any reason any of the Service is unavailable at any time or for any period.

4.2Unless specifically stated otherwise, any new Content, features, materials, services or software applications introduced shall be subject to these Terms.

4.3This Service is directed to businesses operating in the United Kingdom. We do not represent that the Content available on or through this Service is appropriate for use or available in other locations. Any services mentioned on this Service are subject to UK legal and regulatory requirements and may not be available in any jurisdictions other than the UK.

4.4The participation in the Service by the Contributing Firms does not amount to an endorsement of Archimax, its other products or services or any particular transaction.

4.5Nothing in these Terms or on the Service obliges you or any other person to instruct any Contributing Firm.

4.6Nothing on the Service should be construed as a recommendation, offer, inducement or invitation to engage in investment activity, to acquire or dispose of any investment or to engage in any other transaction, or to provide any investment advice or service. Neither the availability nor the use of the Content creates any solicitor-client or other professional relationship, or any duty of care, between you and Archimax, or you and any Contributing Firm, and no Contributing Firm is acting for you in any matter by reason of the Content being made available on the Service.

5. DISCLAIMER

5.1While we and the Contributing Firms take reasonable care in preparing the Content published on this Service, neither we nor any Contributing Firm promise that it will be complete, accurate, up to date or suitable for any particular purpose, transaction, party or circumstances. The Content is template material only and will need to be reviewed and adapted by a suitably qualified adviser before it is used in any particular transaction or circumstances.

5.2The Content, including any opinions on this Service, are provided by us and the Contributing Firms for informational purposes only and are subject to change without notice. Neither we nor any Contributing Firm are giving you any advice (investment, legal, financial, tax or otherwise) in respect of any of the information on this Service. You should obtain your own independent legal and other professional advice before using any Content or taking, or refraining from, any action based on any information on this Service. Any reliance that you may place on the information on this Service is at your own risk.

5.3To the maximum extent permitted by law, and noting that the Service and Content are provided free of charge, we and each Contributing Firm disclaim any and all express and implied conditions, warranties and representations that this Service and the Content, information and services available through it are of satisfactory quality, accurate, fit for a particular purpose, or non-infringing.

9. INTELLECTUAL PROPERTY RIGHTS

9.1The Service and the Content are owned by or licensed to Archimax (including by the Contributing Firms) and are protected by copyright and other applicable intellectual property rights and laws. Nothing in these Terms transfers any intellectual property rights of Archimax or any Contributing Firm to you.

9.2Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, royalty-free licence to download, use, copy and adapt the Content for the purposes of a transaction in which you are involved or on which you are advising, and to share the Content (whether or not adapted) with your counterparties, co-investors and professional advisers for those purposes, provided you do not alter or remove any copyright, trade mark or other proprietary notices on any copy of the Content in its original form. You may not sell or sublicense the Content, or publish or distribute it (whether or not adapted) as a set of template documents, without our prior written consent.

10. TRADE MARKS

10.1Trade marks or logos that appear on the Service are the property of their respective owners and are likely to be registered trade marks and subject to restrictions as to their use. They must not be used without the express permission of the trade mark owner.

11. LIMITATION OF OUR LIABILITY

11.1As the Service and Content are free to use, to the maximum extent permitted by law, neither we nor any Contributing Firm (nor any of our or their respective partners, members, directors, employees, agents or consultants) accept any liability to you or any person claiming through you in respect of the Service or the Content (whether arising in contract, tort (including negligence), breach of statutory duty or otherwise), including without limitation any direct, indirect, consequential, special or incidental losses, or any loss of profits, revenue, data or goodwill.

11.2Neither we nor any Contributing Firm exclude or limit in any way liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.

11.3You agree that you will not bring any claim against any Contributing Firm, or any of its partners, members, employees or consultants, in respect of the Content or your use of it, and that the Contributing Firms may rely on and enforce this clause 11.

12. VIRUSES

12.1We do not guarantee that the Service will be secure or free from bugs or viruses.

12.2You are responsible for configuring your information technology, computer programs and platform in order to access the Service. You should use your own virus protection software.

12.3You must not misuse the Service by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Service, the server on which the Service is stored or any server, computer or database connected to the Service. Any breach of this clause will be reported to the relevant law enforcement authorities and we shall co-operate with those authorities. We reserve all rights to claim damages and other remedies available at law in respect of any such breach.

13. THIRD PARTY LINKS

13.1Where the Service contains links to information, websites and resources provided by third parties, these links are provided for your information only. We have no control over third party websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party website does not mean that we endorse that third party's website, products or services. Your dealings with any third party found on or via the Service are solely between you and the third party with whom you are dealing. Accordingly, you use these services at your own risk and we accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. TERMINATION

14.1You may discontinue use of the Service and associated services at any time. We may discontinue the Service, or terminate or suspend your access to the Service at any time and for any reason, with or without notice. These Terms will continue to apply to any past use by you of the Service.

15. MISCELLANEOUS

15.1No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

15.2If any part of these Terms shall be unlawful or unenforceable for any reason, that part shall be severed from these Terms to the minimum extent necessary and the remaining provisions shall continue in full force and effect and shall be construed so as to give effect to the intent of these Terms as closely as possible.

15.3All legal notices in relation to the Service or these Terms should be given in writing and addressed to Archimax Global Solutions Ltd, 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ, or by email to info@archimax.solutions.

15.4These Terms constitute the entire agreement between you and us in relation to your use of the Service and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to their subject matter. You acknowledge that in using the Service you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. Nothing in this clause shall limit or exclude any liability for fraud.

15.5Subject to clause 3.3, no variation of these Terms shall be effective unless it is in writing and made by us. No oral variation of these Terms shall be effective.

15.6Each Contributing Firm (and its partners, members, employees and consultants) may enforce clauses 4.6, 5, 9 and 11 under the Contracts (Rights of Third Parties) Act 1999. Subject to that, a person who is not a party to these Terms shall not have any rights under that Act to enforce any term of these Terms. The parties may vary or rescind these Terms without the consent of any third party.

16. APPLICABLE LAW

16.1These Terms are governed by English law and the courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms or the Service.
